Affiliate Terms of Use

As an authorized affiliate (Affiliate) of HOSM, you agree to abide by the terms and conditions contained in this Agreement (Agreement). Please read the entire Agreement carefully before registering and promoting HOSM as an Affiliate.

Your participation in the Program is solely to legally advertise our website to receive a commission on memberships and products purchased by individuals referred to HOSM by your own website or personal referrals.

By signing up for the HOSM Affiliate Program (Program), you indicate your acceptance of this Agreement and its terms and conditions.

1. Accepting These Terms

Overview

This document (the “AffiliatesTerms of Use”) and the other documents it references form the complete set of terms and conditions that govern your use of the services offered by hosm.com (the “Services”). These documents establish a contractual relationship between you (the “Affiliate”, “you”, or “your”) and HOSM COMMERCIAL BROKERS LLC (owner of the brand and website hosm.com), hereafter referred to as “hosm.com”, “we”, “us”, or “our”. The Services include our website, mobile applications, and other related tools through which we enable you to earn affiliate commissions upon successful referrals through affiliate links and other referral methods as a part of our affiliate program

Who’s Who

When these Terms mention “hosm.com,” “we,” “us,” or “our,” they refer to the legal entity HOSM COMMERCIAL BROKERS LLC that you are contracting with. Depending on your location and the specifics of the Service used, your contract might be with a subsidiary or affiliate of our primary business entity.

Agreement to the Terms

By accessing or using any part of the Services, you agree to be bound by these Terms of Use. If you do not agree to all the terms and conditions of this agreement, then you may not access the Services or use any services provided by hosm.com. If these Terms of Use are considered an offer, acceptance is expressly limited to these Terms of Use.

Binding Contract

These Terms of Use constitute a binding contract between you and hosm.com (HOSM COMMERCIAL BROKERS LLC). You confirm that you are of legal age to form a binding contract with us and meet all of the foregoing eligibility requirements. If you do not meet all of these requirements, you must not access or use the Services.

Legal Capacity

You affirm that you are more than 18 years of age, or an emancipated minor, or possess legal parental or guardian consent, and are fully able and competent to enter into the terms, conditions, obligations, affirmations, representations, and warranties set forth in these Terms of Use, and to abide by and comply with these Terms of Use.

Electronic Communication

By using the Services, you consent to receiving communications from us electronically, such as emails, texts, mobile push notices, or notices and messages on this site or through the other Services, such as our Message Center, and you agree that all agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing.

The full extent of your agreement and acknowledgement extends to all activities you undertake as part of utilizing the Services and any legal liabilities you may incur as a result.

2. Approval or Rejection of the Application

We reserve the right to approve or reject ANY Affiliate Program Application at our sole and absolute discretion. You will have no legal recourse against us for the rejection of your Affiliate Program Application.

3. Commissions

Commissions will be paid once a month. For an Affiliate to receive a commission, the referred account must remain active for a minimum of 31 days.

You cannot refer yourself, and you will not receive a commission on your own accounts.

Payments will only be sent for transactions that have been successfully completed. Transactions that result in chargebacks or refunds will not be paid out.

4. Termination

Your affiliate application and status in the Program may be suspended or terminated for any of the following reasons:

• Inappropriate advertisements (false claims, misleading hyperlinks, etc.).
• Spamming (mass email, mass newsgroup posting, etc.).
• Advertising on sites containing or promoting illegal activities.
• Failure to disclose the affiliate relationship for any promotion that qualifies as an endorsement under existing Federal Trade Commission guidelines and regulations, or any applicable state laws.
• Violation of intellectual property rights. HOSM reserves the right to require license agreements from those who employ trademarks of HOSM in order to protect our intellectual property rights.
• Offering rebates, coupons, or other form of promised kick-backs from your affiliate commission as an incentive. Adding bonuses or bundling other products with HOSM, however, is acceptable.
• Self referrals, fraudulent transactions, suspected Affiliate fraud.

In addition to the foregoing, HOSM reserves the right to terminate any Affiliate account at any time, for any violations of this Agreement or no reason.

5. Affiliate Links

You may use graphic and text links both on your website and within in your email messages. You may also advertise the ArtisanMart site in online and offline classified ads, magazines, and newspapers.

You may use the graphics and text provided by us, or you may create your own as long as they are deemed appropriate according to the conditions and not in violation as outlined in the Termination section.

6. Coupon and Deal Sites

HOSM occasionally offers coupon to select affiliates and to our newsletter subscribers. If you’re not pre-approved / assigned a branded coupon, then you’re not allowed to promote the coupon. Below are the terms that apply for any affiliate who is considering the promotion of our products in relation to a deal or coupon:

• Affiliates may not use misleading text on affiliate links, buttons or images to imply that anything besides currently authorized deals to the specific affiliate.
• Affiliates may not bid on HOSM Coupons, HOSM Discounts or other phrases implying coupons are available.
• Affiliates may not generate pop-ups, pop-unders, iframes, frames, or any other seen or unseen actions that set affiliate cookies unless the user has expressed a clear and explicit interest in activating a specific savings by clicking on a clearly marked link, button or image for that particular coupon or deal. Your link must send the visitor to the merchant site.
• User must be able to see coupon/deal/savings information and details before an affiliate cookie is set (i.e. “click here to see coupons and open a window to merchant site” is NOT allowed).
• Affiliate sites may not have “Click for (or to see) Deal/Coupon” or any variation, when there are no coupons or deals available, and the click opens the merchant site or sets a cookie. Affiliates with such text on the merchant landing page will be removed from the program immediately.

7. Pay Per Click (PPC) Policy

PPC bidding is NOT allowed without prior written permission.

8. Liability

HOSM will not be liable for indirect or accidental damages (loss of revenue, commissions) due to affiliate tracking failures, loss of database files, or any results of intents of harm to the Program and/or to our website(s).

We do not make any expressed or implied warranties with respect to the Program and/or the memberships or products sold by HOSM. We make no claim that the operation of the Program and/or our website(s) will be error-free and we will not be liable for any interruptions or errors.

9. Term of the Agreement

The term of this Agreement begins upon your acceptance in the Program and will end when your Affiliate account is terminated.

The terms and conditions of this agreement may be modified by us at any time. If any modification to the terms and conditions of this Agreement are unacceptable to you, your only choice is to terminate your Affiliate account. Your continuing participation in the Program will constitute your acceptance of any change.

10. Indemnification

Affiliate shall indemnify and hold harmless HOSM and its affiliate and subsidiary companies, officers, directors, employees, licensees, successors and assigns, including those licensed or authorized by HOSM to transmit and distribute materials, from any and all liabilities, damages, fines, judgments, claims, costs, losses, and expenses (including reasonable legal fees and costs) arising out of or related to any and all claims sustained in connection with this Agreement due to the negligence, misrepresentation, failure to disclose, or intentional misconduct of Affiliate.

11. Electronic Signatures Effective

The Agreement is an electronic contract that sets out the legally binding terms of your participation in the HOSM affiliate program. You indicate your acceptance of this Agreement and all of the terms and conditions contained or referenced in this Agreement by completing the HOSM application process. This action creates an electronic signature that has the same legal force and effect as a handwritten signature.

12. Governing Law and Jurisdiction

These Terms of Use and your use of hosm.com are governed by and construed in accordance with the laws of the United Arab Emirates, without regard to its conflict of law principles:

• Jurisdiction: Any legal suit, action, or proceeding arising out of, or related to, these Terms of Use or hosm.com shall be instituted exclusively in the federal courts of the United Arab Emirates. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.
• Applicability: This clause applies to all disputes or claims associated with hosm.com, including those in contract, tort, statute, fraud, misrepresentation, or any other legal theory.
• International Use: We recognize that hosm.com can be accessed from outside the United Arab Emirates. However, if you access and use the site from outside the UAE, you are responsible for complying with your local laws.
• Dispute Resolution: Before filing a claim against hosm.com, we encourage you to contact us directly to seek a resolution. We will consider reasonable requests to resolve the dispute through alternative dispute resolution procedures, such as mediation or arbitration, as alternatives to litigation.

This section does not preclude you from bringing issues to the attention of federal, state, or local agencies where permitted by law.

13. Feedback and Suggestions

At ArtisanMart.ae, we value the feedback and suggestions of our affiliates as they play a crucial role in the continuous improvement of our platform:

• Submission of Feedback: Affiliates are encouraged to submit feedback, comments, and suggestions for improvements to the hosm.com platform. You may send feedback by emailing us, using our contact form, or through any other communication channels provided on our site.
• Use of Feedback: By submitting feedback, you grant us the right to use, share, and commercially exploit your suggestions without any obligation or compensation to you. We may implement your feedback into our website, services, or products without any restriction or payment.

14. Termination of Use

hosm.com reserves the right to terminate or suspend access to our site and its services without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms of Use:

• Affiliate Account Termination: We may terminate or suspend your account immediately, without prior notice or liability, for any breach of these Terms, or for any other reason, if applicable.
• Effect of Termination: Upon termination of your account, your right to use the Service will immediately cease. If you wish to terminate your account, you may simply discontinue using the Service.
• Survival of Terms: All provisions of the Terms which, by their nature, should survive termination, shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
• Notification of Termination: While we strive to provide advance notice of termination, circumstances may require immediate action for the safety and integrity of our platform.

This termination clause does not limit any of hosm.com’s rights in case of your breach of these Terms of Use under the law.
